MALAWI COMMUNICATIONS REGULATORY AUTHORITY

AMENDMENT OF LICENCE OF AIRTEL MALAWI LIMITED TO PROVIDE PUBLIC
TELECOMMUNICATIONS SERVICES IN THE REPUBLIC OF MALAWI

NOTICE IS HEREBY GIVEN that the Malawi Communications Regulatory Authority (MACRA) intends to amend
Clause 42.2 of the Individual Licence (the Licence) awarded to Airtel Malawi Limited (the Licencee) to provide Public
Telecommunications Services in the Republic of Malawi as follows—

Clause 42.2 Ownership

It is proposed to modify the period the Licence is required to acheive the minimum local ownwership in its shareholding
structure.
Clause 42.2 will therefore be amend to read as follows—

“The Licensee shall within three (3) years and six (6) months from the effective date ensure it has at least twenty (20%)
local Malawian shareholding which shall be maintained throughout the period of the Licence. In the event that the Licensee
fails to find local Malawian investors within three (3) years and six (6) months from the effective date, the Licensee shall apply
to the Authority for exemption of the requirement under this Clause.”

Rationale for Amendment: The amendment has been proposed to give the Licence adequate time to achieve the minimum
local shareholding requirement in its Licence.

PURSUANT to section 23 of the Communication act, the general public and all interested persons are hereby requested
to make any written reprentations on the proposed amendements which should reach the address below within 10 days from
the date of publication of this Notice.
